SLICK DINOS TOKEN OWNERSHIP AND CREATIVE RIGHTS AGREEMENT

1. KEY TERMS

• CREATION: Any digital artwork, design, or illustration linked to the Slick Dinos memecoin, crafted by its artist and first shared by the Originator, transferable or licensable to a Holder, subject to this Agreement’s terms.
• MEMECOIN: A fungible token tracked on the Solana blockchain, representing participation in the Slick Dinos project.
• ORIGINATOR: Slick Dinos developer responsible for releasing the memecoin and associated Creation on behalf of the artist or rights holder.
• START DATE: The date this Agreement binds to the memecoin upon其 initial acquisition by the Holder, effective upon acquisition.
• HOLDER: The current owner of the memecoin, verified on the Solana blockchain, with only one Holder at a time; ownership may transfer via sale or other means.
• ACQUIRED MEMECOIN: A memecoin rightfully obtained from a legitimate source, with proof recorded on the Solana blockchain.
• INITIAL TRANSFER: The first transfer by the Originator of specific rights, title, and interest in the Creation to the Initial Holder, as outlined in Article 3.
• INITIAL HOLDER: The individual or entity qualifying as the Holder on the Start Date under the Initial Transfer.
• RESALE: The sale or transfer of the Acquired Memecoin and associated Creation rights (to the extent transferable) to a new buyer, who becomes the new Holder.

2. OBJECTIVE

This Ownership and Creative Rights Agreement (“Agreement”) governs the transfer of creative rights in the Creation linked to the Acquired Memecoin. It applies to the Initial Transfer and any Subsequent Transfers (resales) unless a separate written agreement exists, in which case the specific agreement takes precedence. The Agreement is effective from the Start Date and remains in force while attached to the Acquired Memecoin. By acquiring the memecoin, the Holder agrees to its terms.

3. LIMITED PERMISSION

Personal Use

Subject to compliance with this Agreement and applicable laws, the Originator grants the Holder a limited, global, non-exclusive permission to copy, access, and use the Creation for personal, non-commercial purposes, keeping all copyright and proprietary notices intact.

Commercial Use

The Holder is granted a limited, global, non-exclusive permission to use the Creation commercially, including producing and selling goods or services featuring the Creation’s visual elements, provided:

• Gross revenue does not exceed $250,000 (or equivalent in SOL or other currency) in any 12-month period unless the Originator grants an exemption.
• The Holder notifies the Originator at [email protected] within 15 days of expecting to exceed this limit to discuss expanded permissions.
• Use avoids depicting hate, violence, or anything offensive, misaligned with Slick Dino’s inclusive ethos, or infringing on others’ rights.
• The Holder may not use the “Slick Dinos” name, logo, or trademarks without Originator approval, nor combine the Creation with other Slick Dinos Creations not owned by the Holder.
• Sublicensing for third-party commercial use is allowed under the same revenue cap and conditions, subject to Originator approval.

4. ASSURANCES AND LIABILITY

The Holder assures that any commercial use or sublicensing complies with all laws, including proper business setup and adequate insurance. The Holder shall indemnify, defend, and hold harmless the Originator from any claims, losses, or damages, including legal fees, arising from the Holder’s use or sublicensing of the Creation or breach of this Agreement.

5. DURATION AND CANCELLATION

Permissions granted terminate when the Holder no longer owns the Acquired Memecoin. Exceeding the permission scope without Originator approval is a breach, allowing the Originator to cancel permissions immediately and seek reimbursement for enforcement costs, including legal and accounting fees.

6. OWNERSHIP PRIVILEGES

Owning a Slick Dinos memecoin grants full ownership of the memecoin, including rights to store, sell, or transfer it. However, it does not confer creative rights in the Creation beyond the permissions in Article 3. Unauthorized use terminates all rights under this Agreement and may violate applicable laws.

7. SUBSEQUENT TRANSFER

The Holder may resell the Acquired Memecoin on a Solana-compatible marketplace that verifies ownership and ensures a percentage of the resale price goes to the Originator. Upon resale, the Holder transfers all Creation-related rights (per Article 3) to the new Holder, subject to this Agreement, unless a separate agreement applies.

8. PAYMENT

Creative rights assigned are in exchange for the memecoin’s purchase price on the marketplace. The Originator is entitled to a commission on resales, as set by the marketplace.

9. ARTIST’S RIGHTS

The Originator retains the right to enforce the artist’s moral rights, including credit for authorship and protecting the Creation’s integrity, prohibiting alterations or uses that harm the Creation, Originator, or Slick Dinos brand.

10. BRANDING AND PROMOTION

The Holder may not use Slick Dinos trademarks except to factually describe the memecoin for non-commercial purposes or resale, ensuring no harm to the Originator’s reputation. The Originator may promote the Holder’s public Creation use unless notified otherwise but does not endorse the Holder without consent.

11. COLLABORATION

The Originator and Holder shall collaborate in good faith to protect the Creation’s creative rights, including legal proceedings. The Originator may defend these rights if the Holder fails to act upon notice.

12. LEGAL FRAMEWORK

This Agreement is governed by U.S. federal law. If any provision is invalid, it will be adjusted to be enforceable while preserving the parties’ intent.
